£22M complex structured finance deal revives distressed £35M+ property portfolio and provides social housing

An experienced property investor came to us following the acquisition of a distressed property investment firm worth over £35 million. The portfolio includes over 40 residential and commercial properties across the UK. Christian Artimadis, Senior Associate at Karis Capital led the transaction and supported his client through the entire process from initial structuring to completion.

The acquired portfolio was encumbered by a £21 million loan and held within a limited company, which presented a number of legal, financial, and operational complexities.

We advised our client through every stage of this transaction by agreeing a competitive acquisition price by working closely with the lender to provide funding for the true value of the portfolio against the price paid to acquire it.

We oversaw the restructuring of the company to mitigate tax exposure, coordinated the settlement of all historic creditors, including lenders and suppliers, whilst also managing valuations of the existing assets to secure a £22 million finance facility at 2.6% above base rate.

Following the completion of the deal, our client successfully managed to enhance the portfolio through the refurbishment of all the residential units to market standards. These assets are now being transitioned to a social housing provider which will generate increased and stable income.
